This Refund Policy is part of our Terms & Conditions and should be read with them. If anything here conflicts with the Terms, the Terms control.

1. All sales are final

Because our products are laboratory research materials that are handled and shipped under controlled conditions, all sales are final. We do not offer refunds, returns, or exchanges except as described in Section 13 of our Terms & Conditions, or where applicable law requires otherwise.

2. Damaged, incorrect, incomplete, or defective orders

If your order arrives damaged, incorrect, incomplete, or otherwise defective, contact us promptly at starwellpharma@gmail.com with your order number and supporting photographs or documentation. We may request additional information before issuing a replacement, credit, or refund.

3. Orders we cancel

If we cancel an order after payment has been received, as described in Section 9 of the Terms, we will provide any refund required under applicable law and this policy.

4. Shipping and customs

As explained in Section 11 of the Terms, you are responsible for providing an accurate shipping address and for making sure the purchase, possession, and importation of the products are lawful at the destination. Carriers and customs authorities may inspect, delay, return, or seize shipments, and we do not guarantee customs clearance or delivery.

5. Payment disputes

Please contact us before disputing a charge with your bank or card issuer so we can try to resolve the issue. Section 10 of the Terms explains how payment disputes and chargebacks are handled.

6. Your legal rights

Nothing in this policy limits any rights that cannot lawfully be waived.

1. Acceptance and Scope

These Terms & Conditions ("Terms") govern access to and use of the StarWell Pharmaceuticals website (the "Site") and purchases made through the Site. "StarWell Pharmaceuticals," "StarWell," "we," "us," and "our" refer to the company identified in the Site's legal/contact information.

By accessing the Site, creating an account, submitting an order, or otherwise using the Site, you agree to these Terms and any policies expressly incorporated by reference, including our Privacy Policy and applicable shipping, refund, and product policies. If you do not agree, do not use the Site or place an order.

We may update these Terms from time to time. Updated Terms become effective when posted unless a different effective date is stated. Your continued use of the Site after an update constitutes acceptance to the extent permitted by law.

2. Eligibility

4. Strict Prohibition on Human or Veterinary Use

You agree that you will not use, administer, inject, ingest, consume, apply, or otherwise introduce any StarWell product into a human or animal.

You will not use any product for self-treatment, clinical treatment, diagnosis, prevention of disease, performance enhancement, weight management, recovery, cosmetic treatment, or any other human or veterinary application.

5. Prohibited Uses and Conduct

You may not:

(a) use products for human or veterinary administration;

(b) resell, redistribute, relabel, repackage, or divert products for prohibited uses;

(c) remove, obscure, or alter research-use-only labeling or warnings;

(d) represent a StarWell product as FDA-approved, medically approved, therapeutic, or suitable for human or veterinary use;

(e) use Site content to create or promote unlawful medical claims;

(f) use products in violation of applicable federal, state, local, or foreign law;

(g) use products in connection with unlawful clinical activity or an unauthorized clinical trial;

(h) export or import products contrary to applicable law;

6. Buyer Representations and Certifications

By placing an order, you represent and warrant that:

(b) you are purchasing for a legitimate laboratory or research purpose;

(c) you will not use or permit use of the product in humans or animals;

(d) you will comply with all applicable laws and institutional requirements;

(e) you will not make unauthorized medical or therapeutic claims concerning the products;

(f) you will not divert products to a prohibited end user or prohibited use;

(g) all information supplied to StarWell is accurate and complete; and

(h) you have authority to make the purchase and, where applicable, act on behalf of your institution or organization.

We may require additional information or documentation before accepting or shipping an order.

7. Affiliates, Resellers, and Downstream Customers

You may not resell, redistribute, or transfer products to a third party for a prohibited use. If StarWell Pharmaceuticals expressly authorizes commercial resale, you remain responsible for ensuring that every downstream recipient receives and agrees to all applicable research-use-only restrictions.

You may not represent yourself as an agent, affiliate, authorized distributor, healthcare provider, or representative of StarWell Pharmaceuticals unless we have expressly authorized that relationship in writing.

Any attempted diversion of products into human or veterinary use may result in order cancellation, account termination, refusal of future orders, and pursuit of available legal remedies.

8. Product Information, Specifications, and COAs

We make reasonable efforts to keep product names, descriptions, specifications, availability, photographs, lot information, and other Site content accurate. However, minor differences may occur.

Where provided, Certificates of Analysis ("COAs") are associated with particular lots and reflect testing performed or reported for that lot. A COA does not constitute a representation that a product is safe, effective, approved, or suitable for human or veterinary use.

You are responsible for evaluating whether a product is appropriate for your legitimate research application and for maintaining appropriate laboratory procedures, storage, handling, and disposal practices.

9. Orders and Acceptance

Submitting an order is an offer to purchase. An order confirmation does not necessarily constitute acceptance. We may accept, reject, limit, or cancel any order at our discretion, subject to applicable law.

We may cancel or refuse an order where we reasonably believe the order may violate these Terms, applicable law, payment-network requirements, export restrictions, product restrictions, or our compliance policies.

If we cancel an order after payment has been received, we will provide any refund required under applicable law and our refund policy.

10. Pricing, Payment, Taxes, and Chargebacks

Prices, promotions, product availability, shipping charges, and taxes may change without notice. The price applicable to an accepted order will be the price presented at checkout, subject to correction of obvious errors.

You authorize the selected payment processor to charge the payment method you provide for the full order amount.

You are responsible for applicable taxes, duties, customs charges, brokerage fees, and other governmental charges unless expressly stated otherwise.

Customs authorities, carriers, and governmental agencies may inspect, delay, return, or seize shipments. StarWell Pharmaceuticals does not guarantee customs clearance or delivery to a jurisdiction where the product is restricted.

Nothing in these Terms transfers responsibility for unlawful importation to StarWell Pharmaceuticals.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO STARWELL PHARMACEUTICALS FOR THAT ORDER.

This section does not exclude or limit liability that cannot lawfully be excluded or limited.

21. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless StarWell Pharmaceuticals and its owners, officers, employees, affiliates, contractors, and agents from claims, losses, liabilities, damages, penalties, costs, and reasonable attorneys' fees arising from your breach of these Terms, unlawful use or transfer of products, violation of applicable law, or misuse of the Site.

This provision does not require indemnification to the extent prohibited by applicable law.

You acknowledge that certain violations of these Terms, including diversion or unauthorized use of products or misuse of StarWell intellectual property, may cause harm that monetary damages alone may not adequately remedy.

To the extent permitted by law, StarWell Pharmaceuticals may seek appropriate injunctive or equitable relief in addition to other available remedies.

24. Governing Law and Venue

These Terms will be governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law or non-waivable consumer protections.

Any court proceeding must be brought in Rogers County, Oklahoma, unless applicable law requires another forum.

25. Dispute Resolution / Arbitration (Optional)

To the extent permitted by applicable law, the parties may agree to resolve covered disputes through individual arbitration administered by a mutually selected arbitration provider under its applicable rules. Any class-action waiver, jury-trial waiver, small-claims exception, arbitration-cost provision, or consumer-dispute provision should be separately reviewed by qualified counsel for enforceability in each relevant jurisdiction.

26. Force Majeure

StarWell Pharmaceuticals will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, governmental actions, carrier disruptions, labor disputes, cyber incidents, utility failures, supply interruptions, regulatory changes, or other events beyond reasonable control.

27. Changes to Products and Site

We may modify, discontinue, restrict, or remove products or Site features at any time. We may also change product availability, specifications, packaging, pricing, and shipping eligibility as permitted by law.

28. Electronic Communications

You consent to receive electronic communications relating to orders, accounts, policies, and transactions. Electronic records, notices, acknowledgments, and agreements may satisfy writing requirements to the extent permitted by applicable law.

29. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law. A failure to enforce any provision is not a waiver of future enforcement.
